INCORPORATION OF COMPANIES AND LEGAL ENTITIES

The incorporation of a company represents the most common way for the exercise of a commercial enterprise.

In fact, the corporate structure allows compared to the individual enterprise, a higher operating flexibility and protection of personal assets, by mean of separation of the shareholders’ goods from the company’s one.

Our service of advisory assistance in the establishment of a company allows to obtain quickly the incorporation of a company or a non profit entity. Through the assistance of our professionals, we identify first of all the most efficient company type with reference to the customer’s needs, to the business activity and to the tax position.

It will be possible to establish all company types allowed by the law: Partnership (“Società in nome collettivo”), Limited Partnership (“Società in accomandita semplice”), Limited Liability Company (“Società a responsabilità limitata”), Share Company (“Società per Azioni”), Co-operative Company (“Società cooperativa”).

For the establishment of a company, our firm offers two different solutions:

• ONLY INCORPORATION SERVICE: it includes all the necessary steps for the incorporation: drafting By laws, notarial assistance, registration practices in Chamber of Commerce, fiscal code and VAT number application, compulsory recording books
• "ALL INCLUSIVE" SERVICE: it includes all costs for the incorporation as the previous item, in addition to accounting book keeping, assistance and tax advice for the first year of operation (excluding preparation and filing of financial statements, all expenses incurred excluded).

The costs shown are "starting from" and are to be confirmed with a request of a written proposal (the cost will be greater if the company's objects is complex, if the incorporation presents specific difficulties or if the share capital is higher than the minimum fixed by the law). The costs are definited in accordance with applicable professional fees.

The costs above shown not include VAT and must be considered net of withholding tax if due. The payment of the share capital and of other expenses not specifically mentioned shall be charged to shareholders’.
